The Staff of the Division of Trading and Markets of the SEC issues statement clarifying when digital interfaces (apps, front-ends, wallets) trigger broker-dealer registration. Key takeaways:
1️⃣ “User interface” is now a regulatory surface
The SEC is explicitly focusing on:
- Web apps
- Mobile apps
- Wallet interfaces
- Trading front-ends
2️⃣ Functional test > legal form
Registration depends on what the interface actually does. Triggers include:
- Steering users toward specific trades
- Recommending securities (explicitly or implicitly)
- Structuring transaction flow
👉 Even if the backend is “DeFi” or decentralized, the interface can still be regulated. If the interface touches assets or controls execution, risk of broker-dealer classification rises sharply.
Interfaces may avoid broker-dealer status if they:
- Do not direct orders
- Do not provide advice or recommendations
- Do not custody assets
- Use non-discretionary, fixed fee structures
👉 This creates a design-safe harbor for infrastructure-style products.

- Protocol layer: Lower (if genuinely decentralized)
👉 What it means for crypto wallets
Since most wallets such as MetaMask and Phantom do not direct orders, instead relying on RFQs and are non-custodial. Plus the fee they charge is often a fixed % of the trade value. They are likely to be exempt from registration and compliance costs.
This would make them the perfect user aggregation layer that doesn't have the securities registration burden. If stablecoin startups raising at 30x sales multiple caught the media's attention, I am looking forward to see what valuation multiples the big wallet platform would command.
